Welcome to Pom Pom! These Terms of Service ("Terms") govern your access to and use of the Pom Pom mobile application, website, and related services (collectively, the "Services") provided by Pom Pom, Inc. ("Pom Pom," "we," "us," or "our").

By creating an account or using the Services, you represent that you are at least 13 years of age and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Acceptable Use

You retain ownership of the content you create and post through the Services ("User Content"). By posting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, distribute, publish, and process your User Content for the purpose of providing and improving the Services.

Content Guidelines

User Content must be honest and based on your genuine experience. Reviews must be tied to verified purchases. We reserve the right to remove any User Content that violates these Terms or our community guidelines.

Business Use of Reviews

Businesses with paid accounts may export and use reviews for marketing purposes in accordance with their subscription terms. Free accounts have limited content rights.

4. Intellectual Property

The Services and their original content (excluding User Content), features, and functionality are owned by Pom Pom and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

5. Third-Party Services

Our Services integrate with third-party services, including Plaid for financial data verification. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

6. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not guarantee the accuracy or completeness of any User Content.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL POM POM, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these Terms shall not exceed the amount you paid us, if any, in the twelve (12) months prior to the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Pom Pom and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

9. Termination

We may terminate or suspend your account and access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in San Francisco County, California.

11. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of the Services after such changes constitutes acceptance of the new Terms.
